15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with English law, as applied in the Emirate of Dubai, United Arab Emirates.

15.2 Amicable Resolution

In the event of any dispute arising out of or in connection with these Terms or the use of the Website, the parties shall first attempt to resolve the dispute amicably through good-faith negotiation. Either party may initiate this process by sending written notice to the other describing the dispute. The parties shall have thirty (30) days from the date of such notice to reach an amicable resolution, unless otherwise agreed in writing.

15.3 Arbitration

If the dispute is not resolved through negotiation within the period specified in Section 15.2, the dispute shall be finally settled by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its Arbitration Rules in force at the time of the dispute. The seat of arbitration shall be Dubai, United Arab Emirates. The language of the arbitration shall be English. The arbitral tribunal shall consist of one (1) arbitrator, unless the complexity or value of the dispute warrants a panel of three (3) arbitrators, as determined by DIAC.

The arbitral award shall be final and binding on both parties and may be enforced in any competent court of jurisdiction. Nothing in this Section shall prevent either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

15.4 Jurisdiction for Interim Relief

Notwithstanding the arbitration agreement in Section 15.3, each party irrevocably submits to the non-exclusive jurisdiction of the courts of Dubai (including the DIFC Courts, where applicable) for the purpose of seeking urgent interim or injunctive relief pending the constitution of the arbitral tribunal.

16. Severability

If any provision of these Terms is held by a court or arbitral tribunal to be unlawful, invalid, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, it shall be severed from these Terms. The validity and enforceability of the remaining provisions shall not be affected.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GrowthGiver in relation to your use of the Website and supersede all prior representations, arrangements, understandings, and agreements between you and GrowthGiver relating to the subject matter hereof.

No waiver by GrowthGiver of any breach of these Terms shall be considered as a waiver of any subsequent breach of the same or any other provision.
